Blair Effron Discusses Paramount, Warner Acquisition

Netflix has obviously got its transaction, and now it'll make its way through the regulatory process, and their hearing scheduled this month, and what have you for that. What happens next? And now, the window is open. You all have said you could potentially nominate director candidates and go this route of running a proxy fight at Warner, if needed. And so, what happens next? How do we think about this?

Right, so, let me try to be as objective about that as possible.

Host: Mm-hmm.

We're gonna win.

Host: Yeah. All right.

Right? What do we have? We have a better bid on the table, $30 a share in cash. We have Larry Ellison backing $40 billion of equity, and then we have banks, Citibank, and Bank of America, and Apollo, backing 54 billion of debt. We will get done more quickly with regulatory because we don't raise any kind of concern relative to what Netflix does, which is all over Europe. We think that shareholders, when it's all said and done, will recognize cash matters, will recognize certainty matters and speed to close matters.
