Why A Pending Warner Bros. Is Weighing On Netflix Stock

Netflix says it's struck a deal to buy the studio and streaming assets of Warner Bros. Discovery for $72 billion. Wall Street hasn't loved that news, though. The stock is down more than 10% since that announcement. Part of the selling came after Paramount Skydance launched a hostile bid for Warner Bros. That move creates uncertainty about whether Netflix will actually win the bid and has raised concern that Netflix may have to up their asking price. But should Netflix successfully pull off that transaction that is likely to face heavy regulatory scrutiny for potential antitrust concerns, the streaming giant will be taking in a massive amount of high-value assets. Bank of America analysts quipped the deal would set up the streaming leader to have a, quote, "Super app that includes 'Superman.'" On top of DC Comics, popular brands, like "Harry Potter," "Game of Thrones," "The Sopranos," "Lord of the Rings" and "Friends" would all also come to Netflix. For Netflix, the move marks a key shift in their strategy, which had previously been built around growing their own content base and occasionally licensing out some content, but it hasn't often been a buyer in large media deals for studios. Jefferies equity analyst James Heney notes that this narrative shift adds, quote, "Noise," to a once clean Netflix story and could keep the stock range bound in the near term. Shares have largely already been in stall mode for most of 2025, with the stock down about 15% since Barron's picked it in mid-May. Over the long term, some analysts argue Netflix's potential purchase of Warner Bros. could be a positive, as the streamer will further its competitive advantage within the streaming universe. Since the stock's massive chug higher from the past few years has pressed pause for much of 2025, how and if this deal is executed will be a large part of the investor focus for the household name in the coming quarters.
